BACKGROUND:

Meeting in Zaragoza, on 5 May 1996 at 11.00 pm , persons with legal capacity at the end of this Act relate to and signed, agree:

1, - Establish, under Article 22 of the Constitution English and Law 191/1964 of 24 December, an association, nonprofit organization, to be called "SANTA CRUZ-PLAZA ART. CULTURAL ASSOCIATION FOR THE ADVANCEMENT OF THE ARTS "

2, - unanimously approve the constitution by which to govern the institution, after reading them.

CHAPTER ONE

Article 1 / 1, - NAME

Article 4 / 1, - SEAT

Article 3 / 2, - BOARD OF DIRECTORS. ELECTION

Article 5 / 2, - BOARD OF DIRECTORS. MEETINGS.

Board Directive shall meet as often as determined by its chairman or at the request of 2 members. In any case, the Board Directive will meet to convene meetings of the Assembly General ; for annual budget, when it becomes necessary to take urgent decisions, etc ...

Article 6 / 2, - chairman.

Article 8 / 2, - Secretary.

Secretary Association shall exercise the following activities:

a) Perform (or in case, direct) administrative activities of the Association.
b) custodian of the files, books and documents of the Association
c) ; Issue, with the approval of the President, the required certifications, as against third parties relating to the agreements legally adopted.
d) Play, where appropriate, the head personnel hired to serve the Association and enforce the rights and duties arising from their employment.
In case of vacancy or absence, the position of Secretary will be filled by the member or by the Vice-Treasurer.

Article 9 / 2, - OTHER CHARGES.

Board Directive may appoint, from among the full members, those charges could lead to better achieve the goals or activities.

Article 10 / 2 - GENERAL ASSEMBLY. MEETINGS.

The General Assembly will meet in ordinary session once a year, during the month of December and, in extraordinary session when so decided by the Board Directive .

Article 11 / 2 - GENERAL ASSEMBLY. COMPOSITION.

The General Assembly , made by all partners, is the supreme organ of the Association .

Article 12 / 2 - GENERAL ASSEMBLY. POWERS.

The powers of the General Assembly :

a) approve, where appropriate, management Board directive.
b) consider and approve, if appropriate, state accounts.
c) approve the annual budgets of the Association .
d) set the quotas of ordinary or extraordinary partners.
e) approve, modify or reject the proposals of the Board Directive or partners.
f) appoint and dismiss members of the Board Directive.
g) Amending the Statutes.
h) dispose of, encumber or dispose of property of the Association .
i) Expelling members, a proposal from the Board Directive.
j) integrate or separate federations.
k) Request declaration of public utility.

CHAPTER THREE

Article 1 / 3, - PARTNERS.

Membership in the Association all people, adults and with their consent, with an interest in the development of the aims of the Association and, making an artistic work, will be publicly expose Plaza de Santa Cruz, Zaragoza.

Within Association, there will be the following classes of members:

a) In number, all integrate the Association.

Article 2 / 3, - PARTNERS. DUTIES.

a) Meet Statutes and valid agreements.
b) Meet economic contributions, if they are established.
c) Attend General Meetings and other events organized.
d) collaborate in the activities and the achievement of the objectives of the Association.

f) Exposing his works in public places and under conditions determined by the Association .
g) Honorary members are exempt from duty pursuant to paragraph f of this article ..

Article 3 / 3, - PARTNERS. RIGHTS.

related rights are:

a) Promote achieving the aims of the Association .
b) Participate activities in the Association.
c) express their opinion and express their suggestions and complaints to the Association agencies.
d) vote and stand for bodies representing the Association.
e) be informed about the activities of the Association .
f) be informed about the economic and real estate the Association.

Article 4 / 3, - PARTNERS. DISCIPLINARY.

The member fails to fulfill its obligations to the Association or that his conduct undermined public or private purposes or prestige of the Association , will be the appropriate disciplinary action, which shall be heard, initiated by the Board Directive which shall give its ruling.
If Board propose the expulsion, propose to the General Assembly that meet.
Sanctions can range from temporary suspension to expulsion rights.

Article 5 / 3, - PARTNERS. LOW.

Partners can apply for low Association voluntarily. No one can be compelled to join or continue in the Association.
Also, to resign from the Association partners who fail to fulfill such duties as partners have, prior record referred to in Article 4 / 3 of the Disciplinary System. Low as an associate does not relieve the financial obligations and responsibilities that have accrued to date of cessation.



CHAPTER FOUR

Article ¼ - ECONOMIC SYSTEM AND EQUITY. INGRRESOS.

Association for the development of its goals and carry out their activities, have the following financial resources:

a) regular or special fees that are legally adopted, which will provide, where appropriate, each partner.
b) grants, bequests or inheritances that may legally receive from partners or third persons, public or private.
c) Any other lawful use.

Article 2 / 4 - HERITAGE.

The association, at the time of its foundation, has no assets.

Article 3 / 4, - ANNUAL BUDGET.

limit its annual budget is 5,000,000, - pesetas (five million)

Article 4 / 4 - MANAGEMENT AND CONTROL.

Board Directive manage assets Association, with the approval and control of General Assembly.

CHAPTER FIVE

Article 1 / 5 - DISSOLUTION.

Association shall be dissolved upon the cessation of activities in pursuit of its goals and by agreement, by a majority of 2 / 3 of the members attending General Assembly extraordinary meeting convened for that purpose.

CHAPTER SIXTH

Article 1 / 6 - AMENDMENT OF STATUTES.

Notwithstanding the preceding paragraph, the provisions of Article 4 / 1 of this Constitution may be amended by agreement of Directive Board and communicated to General Assembly.
The amendments made shall be communicated to the appropriate Register.
